1. About These Terms
These Terms and Conditions govern your use of this website (the "Site") and your engagement with Pulsenet for consultancy services. By accessing this Site or entering into a services agreement with Pulsenet, you accept these terms. If you do not accept them, you should not use this Site or engage our services.

2. Use of This Website
You may use this Site for lawful purposes only. You agree not to:
- Use this Site in any way that is unlawful, harmful, or fraudulent.
- Attempt to gain unauthorised access to any part of this Site or its supporting infrastructure.
- Transmit any unsolicited commercial communications or malicious code through this Site.
- Reproduce, redistribute, or republish material from this Site without our prior written consent.
We reserve the right to restrict or terminate access to this Site at any time without notice.
3. Intellectual Property
All content on this Site — including text, design, layout, graphics, and code — is owned by or licensed to Pulsenet. Nothing on this Site grants you a licence to use Pulsenet's intellectual property except for personal, non-commercial viewing.
Deliverables produced under a consultancy engagement are subject to the intellectual property terms agreed in the relevant engagement agreement. In the absence of specific terms, client-commissioned deliverables are owned by the client upon full payment.
4. Consultancy Services — General Terms
All consultancy engagements are subject to a written scope of work agreed between Pulsenet and the client before work commences. These Terms apply in addition to the engagement-specific scope of work. Where there is a conflict between these Terms and a written scope of work, the scope of work prevails.
Pulsenet will:
- Provide services with reasonable skill and care by qualified practitioners.
- Keep client information confidential under a mutual NDA or the confidentiality provisions of the engagement agreement.
- Notify the client promptly of any material issue that may affect delivery or scope.
- Provide a thirty-day post-delivery support window as outlined in the engagement agreement.
Clients will:
- Provide reasonable access to information, systems, and personnel needed to deliver the engagement.
- Review and provide feedback on deliverables within agreed timelines.
- Make payments according to the schedule set out in the engagement agreement.
- Not use Pulsenet's deliverables in ways that are unlawful or contrary to the engagement's stated purpose.
5. Fees and Payment
Fees for each engagement are fixed and documented in the scope of work. Unless otherwise agreed, Pulsenet's standard payment schedule is fifty percent of the total fee upon commencement and the remaining fifty percent upon delivery of final materials.
Invoices are payable within fourteen days of issue. Late payments may incur interest at the rate provided under Malaysian law. Where payment remains outstanding beyond thirty days, Pulsenet may suspend delivery of services.
All fees are stated in Malaysian Ringgit (RM) and are exclusive of applicable taxes. Where SST or other taxes apply, these will be separately stated on the invoice.
6. Scope Changes
Any change to the scope of work must be agreed in writing by both parties before the change takes effect. Changes that materially affect the volume or nature of work will be subject to a revised fee and timeline. Pulsenet will not carry out out-of-scope work without a written variation agreement.
7. Limitation of Liability
To the extent permitted by Malaysian law, Pulsenet's total liability to any client for losses arising from an engagement shall not exceed the total fees paid by that client for the relevant engagement.
Pulsenet is not liable for:
- Indirect, consequential, or speculative losses.
- Loss of profit, business opportunity, or goodwill.
- Losses arising from the client's use of deliverables in a manner not contemplated by the engagement.
- Losses arising from third-party tools, platforms, or services recommended or implemented as part of an engagement.
Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.
8. Confidentiality
Both parties agree to treat as confidential any proprietary or sensitive information disclosed during an engagement. This obligation survives the conclusion of the engagement. Where a mutual NDA has been signed, its terms take precedence over this clause.
Pulsenet will not disclose client names or reference client work publicly without written consent. Clients may request anonymisation at any time.
9. Data Protection
Both parties agree to comply with Malaysia's Personal Data Protection Act 2010 in relation to personal data processed in the course of an engagement. For information about how Pulsenet handles personal data collected through this website, see our Privacy Policy.
10. Termination
Either party may terminate an engagement by giving fourteen days' written notice. On termination, the client is liable for fees corresponding to work completed up to the termination date. Pulsenet will provide a written account of work completed and any deliverables produced to date.
Either party may terminate immediately where the other party is in material breach of the engagement agreement and fails to remedy the breach within seven days of written notice.
11. Governing Law
These Terms are governed by the laws of Malaysia. Any dispute arising under these Terms or in connection with a Pulsenet engagement shall be subject to the exclusive jurisdiction of the courts of Malaysia.
Where a dispute cannot be resolved through direct communication, both parties agree to attempt mediation in good faith before commencing formal proceedings.
12. Disclaimer of Warranties
This website and its content are provided on an "as is" basis without warranties of any kind, express or implied. Pulsenet does not warrant that the Site will be available at all times, free from errors, or free from harmful components.

13. Changes to These Terms
Pulsenet may update these Terms from time to time. The date at the top of this page indicates the last revision. Engagements already in progress are governed by the Terms in effect at the time of agreement, unless both parties agree otherwise.
